Official Rules – Star Tribune 2011 Winner Wonderland Sweepstakes

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. SWEEPSTAKES IS OPEN TO LEGAL RESIDENTS OF MINNESOTA AND WISCONSIN WHO ARE AT LEAST 18 YEARS OF AGE AT TIME OF ENTRY AND CURRENTLY LIVING IN MINNESOTA OR WISCONSIN. VOID WHERE PROHIBITED BY LAW.

1. Sponsor. The Star Tribune 2011 Winner Wonderland Sweepstakes (the "Sweepstakes") is sponsored by Star Tribune Media Company LLC ("Sponsor"), whose address is 425 Portland Ave. S, Minneapolis, MN 55488.

2. Eligibility. The Sweepstakes is open only to participants who, as of the entry date, are legal residents of Minnesota or Wisconsin (the “Eligible Jurisdictions”) and are at least eighteen (18) years old. The Sweepstakes is void in all other jurisdictions and where prohibited or restricted by law. Employees, officers and directors of Sponsor, UPICKEM, Inc. (“UPICKEM”) and their respective subsidiaries, affiliates, advertising and promotional agencies, and the immediate families (defined as parents, spouses, children, siblings, grandparents, and their respective spouses) or members of the same household (whether related or not) of each such employee, officer and director, are not eligible to enter. The Sweepstakes, and any website pages and advertisements relating thereto, is intended for viewing only within the Eligible Jurisdictions, and entrants must be present in one of the Eligible Jurisdictions at the time they enter.

3. Sweepstakes Entry Period. The "Sweepstakes Entry Period" is the period beginning at 11:01 a.m. Central Time on Thursday, December 8, 2011, and ending at 11:59 p.m. Central Time on Friday, December 23, 2011. Sponsor's (or its designee's) computer is the official time-keeping device for the Sweepstakes.

4. How to Enter.
a. Basic Entries. To enter the Sweepstakes, go to www.startribune.com/winner (either directly or by clicking on a Referral Entry Link (as defined below) forwarded by a friend) during the Sweepstakes Entry Period and follow the links and instructions to submit your entry information (each entry submitted by this method is a “Basic Entry”). Each entrant (sometimes referred to herein as an "Entrant") must completely fill out the online entry form and submit the Basic Entry in accordance with the on-screen instructions. All Basic Entries must be submitted online and must be received by Sponsor during the Sweepstakes Entry Period. Mailed or hard copy entries will not be accepted. Failure to submit all required information and submissions in the manner required in these Official Rules may result in disqualification. Sponsor shall not be obligated to acknowledge or return Basic Entries. Proof of submission will not be deemed to be proof of receipt by Sponsor. LIMIT: One (1) Basic Entry per person in the Sweepstakes.
b. Referral Entries. When Sponsor receives your Basic Entry, Sponsor will send you a message (via Sweepstakes confirmation screen and/or email) confirming your Basic Entry and providing you with a unique link (a “Referral Entry Link”) that you can share with friends (e.g., via Facebook, Twitter or email). Whenever one of your friends submits their initial (and only) Basic Entry in the Sweepstakes using your Referral Entry Link, (i) the friend will be entered in the Sweepstakes via his or her Basic Entry, and (ii) you will be entered in the Sweepstakes again via an automatic referral entry (a “Referral Entry”). LIMIT: There is no limit on the number of Referral Entries per entrant.
c. Each entry and related submissions must comply with and shall be subject to the Sponsor’s terms of use found at www.startribune.com/terms. Without limitation of the foregoing, no entry may contain any content that is offensive or inappropriate, as determined by Sponsor in Sponsor’s sole discretion, nor may any entry defame or invade publicity rights or privacy of any person or entity, living or deceased, or otherwise infringe upon any person's or entity's personal, intellectual property or other property rights or any other third party rights.  Sponsor reserves the right (but shall have no obligation), in its sole discretion, to disqualify any entry Sponsor deems, in whole or in part, to be offensive, inappropriate or that is not in keeping with Sponsor's positive image. Any submission that does not comply with any aspect of these Official Rules may be rejected by Sponsor, and the entrant may be disqualified.

5. Selection of Winners; Notification; Acceptance.
a. During the period from December 24, 2011, to December 31, 2011 (the “Sweepstakes Drawing Period”), the following potential winners of the Sweepstakes will be selected from among all eligible entries received throughout the Sweepstakes Entry Period: one thousand, one hundred and eleven (1,111) potential winners (see section 7 (“Prizes”), below, for description of prize categories and number of potential winners in each category). The drawing will be conducted by Sponsor or Sponsor’s designee. Sponsor will announce the winners on or about January 3, 2012. Odds of winning each prize are dependent upon number of eligible entries received. Sponsor reserves the right, in its sole discretion, to substitute for any prize an alternate prize of equal or greater value.
b. Entrants selected as potential winners must comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. Without limitation of the foregoing, no potential winner shall be declared a winner unless and until he/she executes and returns to Sponsor, by the time and date specified by Sponsor, such prize acceptance documents as Sponsor shall require in the form(s) provided by Sponsor (collectively, the “Acceptance Documents”), including but not limited to such of the following as Sponsor shall require: an affidavit of eligibility, a liability release and a publicity release (if and to the extent permitted by law.)
c. Sponsor will attempt to notify potential winners by phone or Email using the contact information provided with the entry. With respect to each potential winner, if, within twenty-four (24) hours after the time Sponsor first attempts to contact the potential winner, Sponsor has failed to reach the potential winner (whether because Sponsor is unable to leave a phone or Email message, the potential winner has failed to respond to a phone or Email message left by Sponsor, or for any other reason), the entire prize will be forfeited by that potential winner and Sponsor may award the prize to an alternate potential winner selected by random drawing from among all remaining eligible entries. With respect to each alternate potential winner, Sponsor, in its sole discretion, may adjust the above timing and delivery requirements to accommodate Sponsor's Sweepstakes schedule. With respect to each prize, Sponsor reserves the right to refrain from awarding the prize if, by the time scheduled for announcement of winners, there has been no potential winner identified who has complied with all of the requirements for becoming a winner in accordance with these Official Rules.
d. Sponsor is not responsible for the failure of a potential winner to receive Sponsor's telephone or Email message or the Acceptance Documents for any reason, or for the inability of such potential winner to return Sponsor's telephone or Email message or the Acceptance Documents for any reason. All decisions of Sponsor are final.
e. Each winner agrees that he/she will not conduct or participate in any media interview regarding this Sweepstakes or any prize without the express prior written permission of Sponsor.
f. Entry can only be made via one (1) Email address per person. In the event of a dispute as to the identity of a winner based on an Email address, the winning entry will be declared made by the authorized account holder of the Email address submitted at time of entry. The "authorized account holder" is defined as the natural person who is assigned to an Email address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning Email addresses for the domain associated with the submitted Email address.

6. Acceptance of Official Rules and Decisions; Consent to receive Steals emails. By participating in the Sweepstakes, each entrant fully and unconditionally accepts and agrees to be bound by these Official Rules and the decisions of Sponsor (including, without limitation, decisions regarding eligibility of entries, the selection of winners, and the awarding of prizes), which are final and binding in all respects.  In addition, by participating in the Sweepstakes, each entrant fully and unconditionally consents to receive daily Steals program offers from Sponsor via email.

7. Prizes.
a. A total of up to one thousand, one hundred and eleven (1,111) prizes will be awarded in this Sweepstakes (LIMIT: One (1) prize per person), as follows:

• Grand Prize. One (1) Grand Prize, consisting of (A) a two-year lease of an All-New 2012 Mercedes-Benz C250 Coupe (Arctic White with Black MB Tex) Stock #65582, plus (B) $1400 in gift card value to use toward sale tax, license fees and title fees (approximate retail value of Grand Prize: $14,400).  Leased car (leased by Sears Imported Autos) includes Premium 1 Package (heated front seats, Harman/Kardon sound, Sirius Satellite Radio, iPod/MP3 Media interface), COMAND Single Disc Package (Navigation with Hard-Drive), Rearview camera, Wheel locking bolts, and burl walnut wood trim.  Winner must meet all dealer requirements regarding leases (including but not limited to (i) providing insurance and paying all applicable sales tax, license fees and title fees to the dealer at time of delivery, (ii) meeting all dealer credit requirements, and (iii) completing all required paperwork) by 12/31/2011.
• First Prizes. Ten (10) First Prizes, each consisting of a $1,000 HOM Furniture gift certificate (approximate retail value of each First Prize: $1,000).
• Second Prizes. Fifty (50) Second Prizes, each consisting of a $50 Cub Foods gift certificate (approximate retail value of each Second Prize: $50).
• Third Prizes. One thousand fifty (1,050) Third Prizes, each consisting of a $10 Pizza Hut gift certificate (approximate retail value of each Third Prize: $10).

b. For each prize and each prize category, Sponsor shall determine whether the prize(s) will be awarded only in person or whether some prizes may be awarded via email, U.S. mail or other means. In each case, the prize must be accepted as awarded, and each prize is awarded "AS IS" with no warranty, representation, or guarantee, express or implied, in fact or in law, made by Sponsor or for which Sponsor may be liable, including, without limitation, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. All costs and expenses not specified herein related to the prize or the award, acceptance or use thereof, including but not limited to transportation costs, lodging, meals, beverages, taxes (including but not limited to income taxes), gratuities, insurance, healthcare expenses, surcharges and other expenses incurred with respect to the award, acceptance and use of the prize are the sole responsibility of the prize winner. A prize is non-transferable and non-assignable, and it is not refundable. No cash or other substitution may be made, except by Sponsor, who reserves the right to award a prize of equal or greater value should any prize become unavailable for any reason. Prize winner is fully responsible for any and all applicable federal, state and local taxes and assessments associated with prize award, receipt and use.

8. Publicity. Except if and to the extent prohibited by law, each entrant (by participating in the Sweepstakes) and each winner (by accepting a prize) consents to Sponsor’s (and its designees’) use of his/her name, likeness, and other entry information for promotional or other purposes, in any manner or media (including, without limitation, online), worldwide, in perpetuity, and without further notice, payment, consideration or consent.

9. General Conditions.
a. Sponsor reserves the right, in its sole discretion, to terminate, modify or suspend the Sweepstakes if, in Sponsor's opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Sweepstakes, or if viruses, bugs, unauthorized intervention, fraud, technical difficulties or failures or any other factor beyond Sponsor's reasonable control corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes. In such event, Sponsor reserves the right (but does not have an obligation) in its sole discretion to award the prizes to eligible, non-suspect entries received up to the time of suspected impairment of the Sweepstakes. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner.
b. CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
c. Sponsor's failure to enforce any provision of these Official Rules shall not constitute a waiver of that or any other provision.

10. Release. By entering this Sweepstakes, each entrant forever and irrevocably releases and holds harmless Sponsor and each member of the Sponsor Group from and against all claims, damages or liabilities arising in whole or in part, directly or indirectly, from (i) entrant's participation and/or entry in the Sweepstakes; (ii) entrant's award, receipt or use of any prize awarded in the Sweepstakes; and (iii) entrant's participation in any prize or Sweepstakes related activities.  “Sponsor Group” means Sponsor; Star Tribune Media Company LLC (“Star Tribune”); UPICKEM; the parents, subsidiaries and affiliates of Sponsor, Star Tribune and UPICKEM; their respective agents, advertising, public relations and promotion agencies, affiliates, Sweepstakes partners, prize suppliers; and all of their respective employees, officers, directors, shareholders and agents.

11. Limitation of Liability. Neither Sponsor nor any member of the Sponsor Group (including but not limited to Star Tribune and UPICKEM) is responsible for: (a) incorrect or inaccurate transcription of entry information or late, lost, stolen, unintelligible, illegible, damaged, mutilated, altered, incomplete, misdirected entries or entries received through impermissible or illegitimate channels, all of which will be disqualified; (b) technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer online systems, computer equipment, web site, server provider, network, hardware or software; (c) the unavailability or inaccessibility of any telephone, mail, website or service; (d) unauthorized intervention in any part of the entry process or the Sweepstakes; (e) printing, typographical, electronic or human errors which may occur in the offer or administration of the Sweepstakes or the processing of entries; or (f) any injury or damage to persons or property, including but not limited to entrant's computer, which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes, or from viewing, playing or downloading any material from Sponsor's web site(s), regardless of whether the material was prepared by Sponsor or a third party, and regardless of whether the material is connected to Sponsor's web site(s) by a hypertext link.

12. Disputes. Entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively in a federal or state court located in Minneapolis or St. Paul, Minnesota; (b) entrant submits to sole and exclusive personal jurisdiction to said courts in the State of Minnesota for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (c) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys' fees; and (d) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant or Sponsor in connection with the Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of Minnesota, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Minnesota, the United States, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Minnesota.

13. Data Collection; Privacy. Sponsor collects personal information from entrants when they enter the Sweepstakes. Any information collected from entrants during the entry process will be subject to Sponsor’s privacy policy, located at www.startribune.com/privacy (the "Policy"). By entering the Sweepstakes, each entrant acknowledge that he/she has agreed to the Policy and consents to the collection, use and disclosure of his/her personal information for the purposes of administering this Sweepstakes in accordance with the Policy. Any entrant who (i) wishes to access or correct his/her personal information held by Sponsor or opt out of receiving further communications from Sponsor or Sponsor’s affiliated merchants or companies, or (ii) has other questions respecting the Policy is advised to contact Sponsor at www.startribune.com/privacy#contact.

14. Official Rules. These Official Rules are available online at www.startribune.com at the Sweepstakes section of the website or by sending a self-addressed first class postage-stamped envelope to Star Tribune Media Company LLC, 425 Portland Ave S, Minneapolis, MN 55488, ATTN: 2011 Winner Wonderland Sweepstakes – Rules Request.

15. Winner's List. To request a list of winners, mail your request, along with a self-addressed first class postage-stamped envelope to Star Tribune Media Company LLC, 425 Portland Ave S, Minneapolis, MN 55488, ATTN: 2011 Winner Wonderland Sweepstakes – Winners List Request. All such requests must be received by Sponsor not later than December 23, 2012.
